Summary
En la sentencia del Tribunal Supremo de 18 de junio de 2012, se reconoce legitimación activa al adquirente de unas participaciones sociales para la impugnación de unos acuerdos sociales sobre la base del razonamiento consistente en que la transmisión de las mismas inter vivos supone también la transmisión de la legitimación para impugnar el acuerdo social correspondiente.
Abstract
The court ruling of 18 June 2012 acknowledges that a person who has acquired shares in a company has the standing to challenge the company's resolutions. The reasoning is that the inter vivos transfer of the shares also transferred good legal standing for challenging the resolution in question.
