Summary
En la sentencia del Tribunal Supremo, de 28 de octubre de 2013, se falla la no aplicación del artículo 1119 del Código Civil por considerarse que una autorización administrativa a un contrato de compraventa de participaciones sociales tiene la consideración de conditio iuris, sin tenerse en cuenta, por otro lado, la exigibilidad de la normativa administrativa aplicable de que dicha autorización administrativa apareciera en el contrato de compraventa como condición propia, como de hecho así ocurrió.
Abstract
In its ruling of 28 October 2013, the Spanish Supreme Court found that article 1119 of the Spanish Civil Code was not applicable, because the court regarded administrative authorization as a conditio iuris for an agreement to purchase shares in a company. Furthermore, the court took no account of the fact that applicable administrative rules require the administrative authorization to appear in the purchase agreement as an inherent condition (as in fact it did).
