Resumen
Este artículo trata sobre el régimen del plazo de prescripción de todas las acciones de responsabilidad contra los administradores de las sociedades de capital, que expira a los cuatro años a contar desde que dejan de desempeñar el cargo. En particular, analiza detenidamente el cese de los administradores en cuanto punto de referencia para el inicio del cómputo del plazo, así como la incidencia a estos efectos de la inscripción de dicho cese en el Registro Mercantil, según la doctrina del Tribunal Supremo en torno al alcance del principio de publicidad registral.
Abstract
This paper deals with the regulation of the term of extinctive prescription of all the actions for liability against the directors of companies under the Spanish Corporate Enterprises Act. These actions are barred after four years of the date of their cessations. Especially, this research aims to analyze the cessation of the directors regarding the beginning of the period of prescription and the impact of its registration in the Business Registry, according to the Supreme Court's legal doctrine about the rule of legal cognoscibility.
