Resumen
Habitualmente se ejercita la acción de nulidad de pleno derecho en pleitos sobre productos bancarios o de inversión con base en la vulneración de normativa bancaria, y más concretamente, la regulación conocida como MIFID. Generalmente la infracción alegada consiste en el incumplimiento de la obligación de suministrar información adecuada y comprensible o la no realización de los tests de conveniencia o de idoneidad. A pesar del carácter recurrente de esta alegación, los tribunales se pronuncian pocas veces sobre esta cuestión, ya que la pretensión principal suele ser el vicio en el consentimiento. La doctrina y la jurisprudencia menor se encontraban divididas respecto a la posibilidad de anular esta clase de contratos por este motivo. Aunque parecía que la tendencia mayoritaria era entender que no procedía su aplicación. La jurisprudencia del Tribunal Supremo comentada en este artículo resuelve este problema, declarando que no procede aplicar el artículo 6.3 del Código Civil, con la consiguiente nulidad absoluta del correspondiente contrato, por una infracción de la normativa MIFID.
Abstract
Annulment actions are usually brought in judicial proceedings in relation to banking and investment products based on the infringement of banking regulation, and more specifically, in the directives so called MIFID. Generally, the alleged violation consists in the infringement of the obligation to provide appropriate and comprehensible information to clients or the non performance of the assessments of suitability or of appropriateness. Despite how often this argument is alleged, courts seldom decide on this matter since the main action is usually mistake in the formation of the contract. Scholars and lower case law had different opinions on the possibility to annul this kind of contracts under this ground. However, the majority of them seemed to reject its application. The Spanish Supreme Court case law commented in this article solves this issue, declaring that the article 6.3 of the Spanish Civil Code is not applicable (with its consequent nullity of the contract) due to an infringement of the MIFID regulation.
