Resumen
En la actualidad son numerosas las compraventas de bienes muebles a plazos en que se acude a la reserva de dominio como mecanismo de garantía. El examen de la normativa que alude a este pacto que las partes pueden introducir en la compraventa revela cierta asimetría: mientras que la situación del vendedor se regula de manera expresa en varias leyes reconociéndosele derechos específicos, no sucede algo similar respecto del comprador. A la vista de ello y de la inexistencia de una construcción acabada sobre la naturaleza del pacto de reserva de dominio, el presente artículo tiene por objeto estudiar de manera ordenada y a la luz de la jurisprudencia la situación del comprador de un bien con dicha reserva y las medidas a que puede acudir para proteger su posición jurídica, de manera particular en los supuestos en que se produce el embargo del bien adquirido o el concurso del vendedor.
Abstract
Nowadays, there are numerous purchases of movable property in installments in which the retention of title is used as a security. The study of the regulations which make references to this agreement the parties can introduce in the sale reveals an asymmetry: while the seller’s situation is expressly regulated in several laws recognizing him specific rights, nothing similar happens regarding the buyer. Based on this and in the absence of a finished construction on the nature of the retention of the title, this paper aims to study in an orderly manner and in light of the jurisprudence the status of that buyer and the measures he can use to protect its legal position, in particular in the cases in which there is a seizure of the acquired property or the bankruptcy of the seller
