Resumen
Contrariamente a lo que ha sostenido la Comisión Europea en su reciente demanda contra el Estado español por incorrecta transposición de la 2.ª Directiva en materia de Sociedades, el hecho de que la legislación doméstica guarde silencio sobre la posibilidad de excluir el derecho de suscripción preferente en la emisión de obligaciones convertibles no significa que ésta sea inviable. Esta es la tesis central del presente estudio, que se ocupa además de otras cuestiones colaterales a esa principal y, singularmente, de la admisibilidad de la delegación en los administradores de la facultad de emitir obligaciones convertibles con exclusión del derecho de suscripción preferente y de la clarificación de los criterios con arreglo a los cuales ha de llevarse a cabo el juicio de adecuación al «interés social» de la exclusión.
Abstract
Contrary to what the European Commission sustained in its recent legal proceedings against Spain for incorrect transposition of the Second Directive on Companies, the fact that domestic legislation is silent on the possibility of refusing pre-emption rights in convertible bond issues does not mean that the possibility is unviable. This is the central thesis of this paper, which also addresses other questions collateral to the main question, particularly the admissibility of delegating to directors the power to issue convertible bonds with refusal of preemption rights and clarification of the criteria pursuant to which judgement must be made on how conducive refusal is to the «company interest».
