Resumen
Pese a las discusiones doctrinales habidas al respecto, el Tribunal Supremo y la Dirección General de los Registros y del Notariado vienen sosteniendo la tesis de que la personalidad jurídica de la sociedad no se extingue por completo con la inscripción registral de la cancelación, si bien el Tribunal Supremo ha resuelto contradictoriamente sobre la necesidad o no de solicitar la nulidad de la inscripción de la cancelación y reapertura de la liquidación para mantener la capacidad procesal de la sociedad extinguida.
Abstract
Although legal scholars have debated the point, the Supreme Court and the Directorate-General of Registries and Notarial Affairs have long upheld the thesis that a company’s legal personality is not entirely wiped out by registration of the company’s cancellation. The Supreme Court, however, has ruled contradictorily on whether or not it is necessary to apply to have the cancellation entry annulled and the liquidation reopened in order to maintain the defunct company’s capacity to be a party to legal proceedings.
