Resumen
Una de las novedades más relevantes introducida por la ley 25/2011 de 1 de agosto, de reforma parcial de la Ley de Sociedades de Capital, es la contenida en el artículo 348 bis. Dicho artículo incorpora un nuevo derecho de separación por el no reparto de dividendos que se otorga a los socios de sociedades anónimas no cotizadas y sociedades limitadas en aras a la protección de la minoría. No obstante, esto puede afectar negativamente a la situación patrimonial de un gran número de empresas, sobre todo en aquellas que tienen un carácter familiar al no poder hacer frente, aun existiendo beneficios, al pago del dividendo o al reembolso exigido por la normativa como contraprestación al ejercicio del derecho de separación. En este tipo de entidades es frecuente disponer del denominado protocolo familiar como medio que pretende fomentar la comunicación entre los accionistas, estableciendo en él aquellas cláusulas consensuadas que tienen como finalidad evitar futuros conflictos que puedan afectar a su continuidad. De este modo, el objetivo de este estudio es ver la capacidad del protocolo familiar para neutralizar o desactivar los efectos del artículo 348 bis de la Ley de Sociedades de Capital.
Abstract
One of the most significant amendments to Spanish law 25/2011 (1 August 2011), partially reforming the Spanish Corporate Enterprises Act, was made to its article 348(2). This article now provides for an exit right for the stockholders of unlisted joint stock companies and limited companies if dividends are not distributed, in the interests of protecting minority shareholders. However, this may have a negative ejfect on many companies’financial situation, in particular family businesses, as even if they make a profit, sometimes they cannot pay either the dividends or the reimbursement required by the legislation as consideration for exercising such an exit right. In this type of business in Spain, there is commonly an agreement called a protocolo familiar (family business agreement) which is intended to smooth communication between shareholders, by setting forth the agreements reached by them in order to prevent any future conflicts which may affect its continuity. Thus, the objective of this paper is to examine how well such a family business agreement neutralises or lessens the effects of article 348(2) of the Spanish Corporate Enterprises Act.
