LA NULIDAD ABSOLUTA DE LOS DERIVADOS FINANCIEROS POR INCUMPLIMIENTO DE LA NORMATIVA MIFID.

Resumen
Existen numerosísimas sentencias analizando la validez o no de los derivados financieros OTC desde el prisma de la aplicación de la normativa MIFID a los mismos, aunque este ámbito normativo haya sido revisado recientemente por el Banco de España y la Comisión Nacional del Mercado de Valores en cuanto a los derivados financieros ligados a financiaciones con garantía hipotecaria. La contratación de este tipo de instrumentos financieros complejos sin la información, transparencia y claridad necesarias ha supuesto que se haya declarado que en reiteradas ocasiones se haya declarado la nulidad relativa de los mismos por la existencia de vicios en el consentimiento, aunque una revisión de la casuística existente implique también la necesaria consideración de la nulidad absoluta ipso iure del derivado financiero en cuestión, cuando en su negociación se hayan vulnerado las normas de conducta aplicables con carácter imperativo.
Abstract
There are many, many rulings looking at the question of the validity or invalidity of OTC derivatives from the stance of the application of the MiFID to OTC derivatives, although this legislative realm has been recently reviewed by the Bank of Spain and the Spanish National Securities Market Commission as regards derivatives linked to mortgage financing. Trading in this type of complex financial instrument without the necessary information, transparency and clarity has on repeated occasions led to the instruments' being declared relatively void due to the existence of defects of consent, although a review of the existing body of cases also implies the necessary consideration of the ipso jure absolute nullity of a derivative when the imperative applicable rules of conduct have been infringed in its trading.
