Resumen
En la sentencia del Tribunal Supremo, de 10 de marzo de 2011, se reconoce el derecho de separación ante un supuesto de filialización de actividades sociales al entender que en el caso enjuiciado se había producido una modificación sustancial del objeto social, sin considerar la posibilidad de ejercicio indirecto del objeto social y las consecuencias del artículo 72 de la Ley sobre modificaciones estructurales de las sociedades mercantiles.
Abstract
The Supreme Court's ruling of 10 March 2011 acknowledges the right of separation in a case of subsidiarization of company business, deeming that, in the case at hand, the corporate purpose had been substantially changed. The ruling does not consider the possibility of indirect exercise of the corporate purpose or the consequences of article 72 of the Act on structural modifications of business partnerships.
