Resumen
La cláusula de manifestaciones y garantías se enmarca en la tradición contractual angloamericana. A diferencia de la técnica contractual continental, en la que suele predominar el método sintético que busca formular principios o criterios generales que permiten decidir un espectro amplio de situaciones contractuales sin que estas hayan sido especificadas necesariamente en el contrato, en la tradición angloamericana tiene cierto arraigo la metodología analítica, que busca explicitar el mayor número de contingencias concretas que pueda plantearse. La utilización de una lista analítica de manifestaciones y garantías en el contexto jurídico español puede plantear algunas dificultades. Es trabajo aborda el estudio de la cláusula de manifestaciones y garantías como ejemplo de legal transplant en Derecho español. En primer lugar, se examinan las funciones de la cláusula de manifestaciones y garantías, en particular sus funciones en Derecho inglés y en Derecho español. A continuación, se analiza la autoría de las manifestaciones y garantías, su tipología más frecuente y el sistema de responsabilidad contractual contenido en esta cláusula, prestando especial atención a las limitaciones cualitativas, cuantitativas y temporales. Asimismo, se presenta el pacto de indemnización específica, el procedimiento de reclamación, la constitución de posibles garantías y el seguro de M&A. Finalmente, se formulan algunas conclusiones que ponen de relieve que es preciso construir la cláusula de manifestaciones y garantías no tanto como un pacto de responsabilidad asumida por la falta de veracidad, exactitud o completitud de ciertos asertos, sino como un pacto de cobertura de riesgos.
Abstract
Representations and warranties clauses are part of the Anglo-American contractual tradition. Unlike under the continental legal drafting technique, in which the synthetic method seeks to formulate general principles or criteria that comprise a wide spectrum of contractual situations, which not necessarily have been specified in the contract, the Anglo-American tradition is rather based on the analytical methodology, which tends to explicit a great number of specific contingencies that may arise. The use of an analytical list of representations and warranties in the Spanish legal context may pose some difficulties. This paper addresses the representations and warranties clause as an example of legal transplant into Spanish Law. First, we examine the functions of the representations and warranties clause, in particular its functions under English and Spanish law. Next, we analyze the authorship of the representations and warranties, their more common types and the system of contractual liability, paying special attention to qualitative, quantitative and temporal limitations. Also, the specific compensation agreement, the claims procedure, the constitution of possible guarantees and the M&A insurance are presented. Finally, we conclude that, under Spanish Law, the representations and warranties clause should not be understood so much as a liability agreement assumed for the lack of veracity, accuracy or completeness of certain assertions, but as a risk coverage agreement.
