Resumen
El presente estudio analiza la regulación del pacto de retroventa a partir de la Propuesta de Código civil elaborada por la Asociación de Profesores de Derecho Civil. La Propuesta, a diferencia del Código civil español, ya no considera el que denomina “derecho de readquisición” como una causa de resolución del contrato de compraventa, sino que lo configura como una modalidad de los derechos reales de adquisición. Se analiza la naturaleza y el régimen jurídico del derecho de readquisición, y se cuestiona su sustantividad frente al derecho de opción, todo ello con un espíritu crítico y con continuas comparaciones con el Código civil de Cataluña, con la pretensión de contribuir al debate y, si cabe, mejora de la Propuesta.
Abstract
This paper analyzes the regulation of the pactum de retrovendendo based on the Civil Code Proposal prepared by the Association of Professors of Civil Law. The Proposal, unlike the Spanish Civil Code, no longer considers what it calls the “right of reacquisition” as a cause for termination of the sale contract, but rather configures it as a modality of real acquisition rights. The nature and legal regime of the right of reacquisition is analyzed, and its substantivity against the right of option is questioned, all with a critical spirit and with continuous comparisons with the Civil Code of Catalonia, with the aim of contributing to the debate and, if possible, improvement of the Proposal.
