Resumen
Aceptada la legitimación activa de la sociedad adquirida para la reclamación de daños y perjuicios sobre la base de la estipulación contractual en favor de tercero, habrá que determinar, en su caso, si un posible convenio arbitral inserto en el contrato de compraventa de empresa firmado por comprador y vendedor también afecta a la sociedad adquirida
Abstract
Once the active legitimation of the acquired company has been accepted for the claim for damages based on the contractual stipulation in favour of a third party, it will be necessary to determine, where appropriate, if a possible arbitration agreement inserted in the company sale contract signed by buyer and seller also affects to the acquired company.
