Resumen
El convenio concursal produce efectos de indudable trascendencia jurídico-real. de ahí que la LC prevea su publicidad en el registro de la Propiedad. La cuestión que se plantea es si dicha publicidad es una exigencia de tracto sucesivo para inscribir los posteriores actos dispositivos otorgados por el concursado o bien su publicidad es meramente facultativa a tales efectos. al defender que el auto declaratorio del concurso impone al concursado prohibiciones de administrar y disponer, resultan coherentemente aplicables los principios de prioridad y tracto sucesivo. en el presente trabajo, la autora intenta aportar argumentos a favor de la previa inscripción de la sentencia aprobatoria del convenio y del contenido de este con trascendencia jurídico real, sobre la base de los artículos 24.2 y 3 LC; los términos imperativos de los artículos 109.2 y 132 LC, en relación con el artículo 137 LC; el principio de especialidad registral; la necesidad de dar publicidad «erga omnes» a la ausencia de prohibiciones de disponer sobre los bienes del concursado integrados en la masa activa, tras la aprobación del convenio; la facilitación de la calificación registral y la falta de coherencia, a su juicio, entre la solución arbitrada por la DGRN y las previsiones del artículo 137 LC. Todo ello, salvo mejor opinión fundada en derecho.
Abstract
Insolvency settlements have undeniable real legal implications with regard to the assets, and this is why the Insolvency Law requires them to be made public at the Property Registry. The question under examination is whether the said publicity is a requirement of chain of title for the purpose of recording subsequent acts of disposal performed by the insolvent party, or whether it merely facilitates these activities. By arguing that the order declaring the insolvency proceedings im poses prohibitions on the insolvent party’s rights to administer and dispose of its assets, the principles of priority and chain of title become logically applicable. In this work, the author seeks to provide arguments in favour of the prior recorda tion of the judgment approving the settlement and of its contents where these have real legal implications with regard to the assets, on the basis of artículos 24.2 and 3 of the Insolvency Law; the imperative provisions of artículos 109.2 and 132 of the said Law, in relation to artículo 137; the principle of registry determination; the requirement to provide publicity that is universally effective regarding the lack of any prohibitions on disposing of the insolvent party’s assets forming part of the insolvency estate, following the approval of the settlement; facilitation of the regis trar’s approval to register, and the lack of coherence, in the opinion of the author, between the solution provided by the Registries and Notaries DirectorateGeneral (DGRN) and the provisions of artículo 137 of the Insolvency Law. All of this is in the absence of any better understanding grounded in Law.
