Recent Supreme Court rulings of 2008 and 2009 establish as a principle that the mere allegation that a shareholders' accord exists cannot serve as grounds for challenging a corporate resolution that violates the shareholders' private accord (which is not made under the company by-laws). However, this does not mean that, in certain situations, when an injury of the corporate interest is attendant, the challenge of the corporate resolution is necessarily unviable.
