Resumen

Este trabajo aborda el estudio de los derechos de tanteo y retracto en la Ley 49/2003, de Arrendamientos Rústicos. Estos derechos permiten al arrendatario que sea agricultor profesional adquirir con preferencia la finca rústica que lleva en arriendo y que el propietario ha decidido transmitir o ya ha transmitido inter vivos. Se analizan los titulares de estos derechos, los distintos negocios jurídicos que dan lugar al ejercicio del tanteo y retracto y los supuestos en que procede o no el ejercicio de estos derechos. Asimismo, se estudian las distintas garantías que tiene el arrendatario en orden al ejercicio del derecho de retracto. El arrendatario-retrayente como consecuencia del ejercicio del retracto se subroga en el lugar del adquirente en el negocio jurídico celebrado entre este y el transmitente, no se ve afectado por los actos que el adquirente realice con posterioridad a la transmisión y adquiere la plena propiedad de toda la finca rústica, de una parte determinada o de una cuota de la misma, extinguiéndose por confusión de derechos el contrato de arrendamientos rústicos. También abordamos el problema de la preferencia cuando concurren distintas personas y por distintos conceptos que tienen derecho de adquisición preferente sobre la finca rústica arrendada.

Abstract

This paper analyses the pre-emptive and first refusal rights enshrined in the Spanish Law 49/2003, on Rural and Agricultural Leases. The Law confers to tenants who are professional farmers the right to the preferential acquisition of the rural property where he is a tenant, when the owner has transferred the property inter-vivos. The paper examines the legal capacity of right-holders, the legal transactions which can be subject to pre-emptive and first refusal rights, the cases in which these rights do not apply and the legal guarantees and safeguards granted to leaseholders. A leaseholder who exercises the first refusal rights takes the place of the first purchaser; he/she is not affected by further actions carried out by the later after the first transfer, and would finally acquire the full ownership of the entire farmland or part thereof. The agricultural lease contract shall conclude in parallel. We also address the issue of better rights between potential right holders and the conflicting interest altogether.
