Resumen
El caso enjuiciado por la sentencia del Tribunal Supremo, de 15 de junio de 2010, nos ofrece un ejemplo de cómo la actitud del vendedor de las participaciones sociales de una sociedad de responsabilidad limitada consistente en no informar acerca de irregularidades contables de la misma y de la insolvencia de su franquiciadora puede originar una responsabilidad contractual para el mismo, lo cual supone, a juicio del Tribunal, la existencia de un resarcimiento del daño moral alegado por el adquirente; cuestión que ha de analizarse correctamente desde criterios de imputación objetiva y no desde una mera causalidad.
Abstract
The case decided on by the Supreme Court’s ruling of 15 June 2010 offers us an example of how the attitude of the seller of shares in a private limited company (i.e., failure to inform the buyer about the company’s accounting irregularities and its franchisor’s insolvency) can lead to contractual liability for the seller, making the buyer’s claim for redress for pain and suffering a good one in the court’s opinion. This issue must be analyzed correctly from the standpoint of objective charges, not as an issue of mere causality.
