Resumen
Las plataformas de financiación participativa (PFP) son empresas que operan en red creando un entorno digital para que promotores de proyectos empresariales, de formación o de consumo soliciten financiación para los mismos mediante la oferta de suscripción de préstamos o valores, a cambio de otorgar al inversor profesional o consumidor que presta financiación, un rendimiento dinerario. estas plataformas constituyen un nuevo operador del mercado financiero regulado por la ley 5/2015, de 27 de abril, de fomento de la financiación empresarial (lFFe). El crowdfunding regulado por la LFFe genera una amalgama de relaciones jurídicas, pues es preciso que el inversor acceda (se dé de alta en la plataforma) para poder operar a través de ella e invertir en concretos proyectos. es preciso que el promotor someta su proyecto a la admisión y selección de la PFP, previa a su publicación en la web, para su posterior contratación directa con los inversores. la PFP no parece contratar en nombre de sus clientes, no sería mandataria o comisionista, sino intermediaria en la creación de un entorno digital que permite la contratación, pero sí que formaliza el contrato existente, y puede ejercitar acciones de reclamación contra el promotor en nombre de los partícipes en proyectos de crowdlending o en nombre propio (previa cesión por el inversor de su derecho de crédito). la PFP también puede detallar extremos de los contratos de financiación participativa que ofrecen los promotores y en este sentido su actividad iría más allá de la mediación. La PFP predispone el clausulado de los contratos de acceso para la multiplicidad de los inversores (que por lo tanto está sometido a condiciones generales de la contratación). Predispone, igualmente, el clausulado del contrato de naturaleza incierta, tal vez mediación, que celebra con cada promotor, contrato también sometido a CGC. en cuanto al contrato de financiación participativa es un contrato de adhesión pues el inversionista no ha participado en la elaboración de la oferta de suscripción de valores o en la oferta de préstamo, que se limita a aceptar (no hay tratos preliminares de los que resulte una oferta última y vinculante), con la particularidad de que en el crowdlending quien formula la oferta de contrato de préstamo es el prestatario que manifiesta las condiciones en que quiere asumir tal posición, limitándose el prestamista a aceptar tales condiciones al contrato de financiación participativa es un contrato de adhesión pues el inversionista no ha participado en la elaboración de la oferta de suscripción de valores o en la oferta de préstamo, que se limita a aceptar (no hay tratos preliminares de los que resulte una oferta última y vinculante), con la particularidad de que en el crowdlending quien formula la oferta de contrato de préstamo es el prestatario que manifiesta las condiciones en que quiere asumir tal posición, limitándose el prestamista a aceptar tales condiciones.
Abstract
Participative financing platforms (PFPs) are companies that operate in a network, creating a digital environment for promoters of business, training or consumption projects to request financing for them through the offering of loans or securities, in exchange for granting the professional investor or consumer who provides financing, a money yield. These platforms constitute a new financial market operator regulated by Law 5/2015, of April 27, on the promotion of business financing (LFFE). The crowdfunding regulated by the LFFE generates an amalgam of legal relationships, since it is necessary for the investor to access (register on the platform) to be able to operate through it and invest in specific projects. The promoter must submit his project to the admission and selection of the PFP, prior to its publica- tion on the website, for subsequent direct contracting with investors. The PFP does not seem to hire on behalf of its clients, would not be agent or commission agent, but intermediary in the creation of a digital environment that allows the hiring, but it does formalize the existing contract, and can exercise claim actions against the promoter in name of the participants in crowdlending projects or on their own behalf (prior assignment through the sale by the investor of their right to credit). The PFP can also detail contract clauses of the participative financing contracts offered by the promoters and in this sense their activity would go beyond mediation. The PFP predisposes the clauses of the access contracts for the multiplicity of investors (which are therefore subject to General Conditions of Contracting). The PFP also predisposes the clauses for the contract of an uncertain nature, perhaps mediation, which is concluded with each promoter, a contract also subject to CGC. Regarding the participative financing contract, it is an adhesion contract because the investor has not participated in the elaboration of the subscription offer of securities or in the loan offer, which is limited to accepting (there are no preliminary deals that result in a last and binding offer), with the particularity that in the crowdlending who formulates the offer of loan contract is the borrower who manifests the conditions in which he wants to assume such position, the lender limiting himself to accepting.
