LAS ASOCIACIONES EN LA JURISPRUDENCIA PERUANA ACTUAL.

Resumen
El derecho de asociación es consagrado en la Constitución Política del Perú como uno fundamental de todas las personas, que puede definirse como derecho «a asociarse y a constituir fundaciones y diversas formas de organización jurídica sin fines de lucro, sin autorización previa y con arreglo a ley (...)» (inc. 13, art. 2).
Concordantemente y dentro del ámbito legislativo, el Código Civil desarrolla algunas de las personas jurídicas y organizaciones existentes en el ordenamiento jurídico peruano, tales como la asociación, fundación, comité, etc.
A efectos de conocer los alcances del referido ordenamiento, en especial en materia de asociaciones, se hace necesario el conocimiento de la legislación, la doctrina y la jurisprudencia.
El presente trabajo centra su interés en la denominada jurisprudencia registral, es decir, las decisiones de los órganos encargados de interpretar y aplicar las normas y la doctrina en casos concretos.
En ese sentido, se revisarán los alcances de la regulación actual de las asociaciones en el Perú, la jurisprudencia registral vinculada a su órgano máximo deliberante, es decir, la asamblea general de asociados -órgano conformante de la voluntad social-, y sus principales aspectos (convocatoria, quórum y mayorías), la asamblea general de regularización, su órgano gestor y representativo, léase, el consejo directivo (junta directiva) y sus aspectos documentales (actas, libros, etc.).
Abstract
The right of association is consecrated in the Political Constitution of Peru as a fundamental right of all persons, which may be defined as the right «to associate and to create foundations and diverse not-for-profit forms of legal organisation, without prior authorisation and pursuant to the law» (art. 2, indent 13).
Concordantly, in the legislative realm, the Civil Code addresses some of the legal persons and organisations operating under Peruvian law, such as associations, foundations and committees.
In order to ascertain the scope of the above-said law, especially in matters of associations, it becomes necessary to have some knowledge of legislation, doctrine and jurisprudence.
This article focuses its interest on what is called registration jurisprudence, i.e., the decisions of the bodies in charge of interpreting and applying rules and doctrine in specific cases.
The article will review the scope of current association regulations in Peru, registration jurisprudence linked to the highest deliberating body, i.e., the general assembly of members (the body deciding what the group intent is), and the main aspects thereof (call to meeting, quorum and majorities), the general assembly of regularisation, its managing and representative authority, in other words, the association board (board of directors) and its documentary aspects (minutes, books, etc.).
