Resumen
El objetivo del presente trabajo consiste en analizar el papel que juega la buena fe objetiva para desarrollar, completar o corregir el contenido del contrato. La idea que sirve de hilo conductor es que la aplicación de este principio requiere reglas claras y precisas que le doten de contenido y operatividad sin poner en riesgo el principio de la autonomía privada que rige la contratación privada. De acuerdo con ello, se concretan, de un lado, las reglas o deberes específicos que subyacen a la buena fe a que se refiere el artículo 1258 CC tomando como base la jurisprudencia de la Sala 1ª del TS. De otro lado, se fijan los límites dentro de los que -excepcionalmente- se considera admisible su utilización para corregir el contenido del contrato, y se somete a revisión cuál es el sentido y el papel concreto que juega la buena fe que subyace a la regla de los llamados “pactos sorprendentes” en los contratos celebrados con condiciones generales. Y se llega a la conclusión de que el control de contenido únicamente es admisible cuando se da una vinculación injusta del adherente con fundamento en una manifestación específica de la buena fe (la protección de la confianza en las relaciones jurídicas).
Abstract
The aim of this paper is to analyze the role that good faith plays to develop, complete or correct the content of the contract. The idea that serves as a common thread is that the application of this principle requires clear and precise rules that provide it with content without jeopardizing the principle of private autonomy applicable to contracts. To this purpose, on the one hand, the specific rules that underline a duty of good faith in accordance to Article 1258 CC are specified, based on the case law of the Supreme Court. On the other hand, it is analyzed whether the good faith can be used to correct the unfairness of the contract. Specifically, the role that good faith plays via the notion of “unfair surprise” in contracts containing general conditions is also subject to revision. It is concluded that the control of contract terms is only admissible in case of the adherent party is unfairly bound in the course of the contract negotiation process. The legal basis for such conclusion is the rule of reasonable expectations of the parties factored into the good faith principle.
