Resumen

La hipoteca flotante permite garantizar una o más obligaciones, presentes y/ o futuras, incluso sin conexión causal entre ellas, en favor de entidades financieras, sin individualizar la responsabilidad máxima hipotecaria atribuida a cada obligación. Respecto de las futuras, basta con que se incluya la referencia en la escritura a los actos jurídicos básicos de los que deriven o puedan derivar. La flotante también puede garantizar créditos tributarios o de seguridad social en favor de administraciones públicas. Se puede ceder uno o más créditos garantizados por la flotante (presentes y/o futuros), parcial o totalmente (adquiriendo el cesionario, salvo pacto en contrario, la hipoteca) y manteniendo el cedente la hipoteca en garantía de los restantes créditos garantizados no cedidos. El acreedor puede establecer unilateralmente al tiempo de la cesión el reparto de responsabilidad hipotecaria entre los créditos cedidos y los no cedidos. Cabe la ejecución parcial de una flotante (con subsistencia de la hipoteca respecto de los créditos aún pendientes, sean del mismo o de distintos acreedores), con tal de que conste o se establezca la parte de la responsabilidad hipotecaria que asegura cada crédito.

Abstract

Floating mortgages may secure one or more credits, either current or future, mutually interconnected or not, for the benefit of financial entities, without separating the maximum mortgage liability allocated to each secured obligation.
Future liabilities may be secured simply by reference to the acts or transactions from which they will arise. Floating mortgages may also secure tax and social security credits. Credits secured by a floating mortgage (current or future) may be partially or totally assigned (together with the mortgage) to third parties, the assignee keeping the mortgage as security for any non-assigned credit(s). The mortgagee may unilaterally establish the maximum mortgage liability amongst the assigned and nonassigned secured credits at the time of the assignment. Floating mortgages may be enforced upon the breach of any of the secured credit(s), the mortgage remaining for the security of any pending credits (either owned by the same creditor or a different one) provided that the aggregate maximum mortgage liability has been previously allotted into the various secured credits.
