Resumen
El retracto convencional tiene lugar cuando en una compraventa el vendedor se reserva el derecho de recuperar la cosa vendida y se compromete a reembolsar al comprador el precio de la venta y otros gastos si hace uso de aquel derecho. El retracto convencional se regula en nuestro Código Civil como una de las causas de resolución de la compraventa. Se trata de una resolución de carácter convencional al nacer de la voluntad de las partes manifestada en el contrato. El retracto convencional no forma parte del contenido normal del contrato, sino que constituye un elemento accidental, siendo necesario que los contratantes lo creen para que tenga vida legal. Establecido el retracto convencional, la ley establece unas obligaciones, las reguladas en el artículo 1.518, que se imponen con carácter imperativo a los contratantes. La doctrina dominante y la jurisprudencia, por su parte, consideran el retracto convencional como una condición resolutoria expresa, porque nace del contrato, y potestativa, porque depende de la voluntad del vendedor, a cuyo favor se establece, no teniendo la calificación de retracto convencional el pactado a favor de tercero o cuando el vendedor se reserva la facultad de designar ulteriormente al titular. Además, en el retracto convencional el derecho puede ejercitarse durante todo el plazo contractual o legal establecido por la simple voluntad del retrayente.
Abstract
A contractual repurchase takes place when, in a sale, the seller reserves the right to recover the sold item and undertakes, in that event, to reimburse the buyer for the selling price and other expenses. Contractual repurchase is regulated in our Civil Code as one of the causes of cancellation of sale. It is a contractual cancellation, because it is the parties' wish, stated in their contract.
Contractual repurchase is not a usual part of a contract. Rather, it is a voluntary element that must be purposefully included by the parties in order to be legally valid. When a contractual repurchase is established, the law sets certain obligations, which are regulated in article 1518 and are mandatory for the parties. Dominant doctrine and case law regard contractual repurchase as an express defeasance, because it is born of the contract, and as an optional condition, because it depends on the wishes of the seller, whom it benefits.
A right of first refusal for a third party or reservation by the seller of the power ultimately to name the owner are not considered contractual repurchase agreements. In addition, in a contractual repurchase, the right can be exercised during the entire term of the contract or the legal term established merely by the repurchaser's wish.
