Resulta necesario delimitar la figura del tercero beneficiario y del mero autorizado de pago en orden a clarificar la legitimación activa de la sociedad sociedad adquirida ante el incumplimiento de las declaraciones y manifestaciones en los contratos de compraventas de empresa.
Abstract
It is necessary to delimit the figure of the third-party beneficiary and the mere authorized payment in order to clarify the active legitimacy of the acquired company in the event of non-compliance with the declarations and statements in the company sales contracts.
