Resumen
La determinación de la retribución de los administradores en los órganos de administración simples require su reflejo estatutario, aunque el acuerdo de la misma puede también venir efectuado en un pacto parasocial con la oponibilidad del mismo que haya de predicarse, consistiendo un incumplimiento contractual la falta de reconocimiento de la retribución acordada.
Abstract
When an organisation has a simple administration body consisting of directors, any remuneration set for the directors must be reflected in the organisation's by-laws. The remuneration agreement may also be made in a shareholders' agreement, however, which, as such, would then be opposable.
Failure to acknowledge the agreed-to remuneration would constitute breach of contract.
