Resumen

En este trabajo el autor analiza la figura jurídica del trust, procedente del Derecho anglosajón, su posible incardinación en el Derecho español y la influencia que pueda tener la publicidad registral para el logro de sus fines cuando se trata de un trust inmobiliario. Mientras que en su constitución y en la adquisición de capacidad normalmente rige una publicidad de hecho, sin necesidad de publicidad registral del trust, la publicidad a través del Registro de la Propiedad es básica a fin de garantizar la separación del patrimonio afecto respecto del constituyente o fundador y de sus deudas; a fin de proteger el patrimonio frente a acciones rescisorias como consecuencia del fraude de aportaciones; a fin de separar el patrimonio afecto de los bienes del gestor y hacer constar claramente el carácter de mero gestor de quien administra los bienes; y, finalmente, a efectos de mantenimiento del beneficio de la responsabilidad limitada del fondo. El mismo papel relevante hay que reservar al Registro de la Propiedad cuando es preciso dotar al patrimonio afecto de una representación orgánica; aunque en esos casos el riesgo provenga de la confusión de los bienes del fondo con los personales del gestor. Especialmente efectivo se ha demostrado el uso del Registro para generar confianza y por tanto combatir el fraude de acreedores cuando hay peligro de que, para disfrazar operaciones especulativas o simplemente arriesgadas, se constituyan patrimonios «sumidero» o de «paja» que permitan desplazar a terceros las previsibles pérdidas. En fin, no menos importante se demuestra el concurso de la publicidad registral cuando se busca articular garantías que permitan someter a adecuado control la administración: siempre que la gestión es estática, la inscripción de los bienes afectos y la constitución de una hipoteca que afiance la devolución de su valor, se han revelado instrumentos eficaces para conseguir asentar sobre sólidas bases la relación de gestión.

Abstract

In this paper the author analyses the Anglo-Saxon legal concept of the trust, the form trusts may take in Spanish law and the influence registry disclosure can have on the achievement of the purposes of an immovable property trust. While the constitution of and acquisition of standing for a trust carry de facto publicity and do not need to seek registry disclosure on top of that, disclosure through the property registration system is basic for guaranteeing the separation of the trust's assets from the constituent party or founder and his, her or its debts; for protecting the assets from rescissory action as a consequence of contribution fraud; for separating the trust's assets from the fund manager's property and making it clear that the person administrating the property is merely a manager; and lastly for the purpose of maintaining the benefit of the trust's limited liability. The property registration system reserves the same leading role when the assets involved have to be given an organic representative, although in those cases the risk stems from confusing the trust's property with the manager's personal property.
Use of the registration system has proved to be especially effective to generate confidence and therefore to fight creditor fraud when there is any danger of «dummy» trusts being set up to disguise speculative or simply risky transactions and shift the foreseeable losses onto third parties. In short, registry disclosure proves itself no less important when the point is to set up guarantees so the trust administration can be kept under proper supervision:
Provided that the management is static, the registration of the property involved and the creation of a mortgage securing the return of the property's value have revealed themselves to be effective instruments for setting the management relationship on a solid foundation.
